End-User License Agreement
You should carefully read the following terms and conditions before using this software. Unless you have a different license agreement signed by TGRMN Software your use of this software indicates your acceptance of this license agreement and warranty. Installing and using ViceVersa Pro signifies acceptance of the terms and conditions of this license agreement. If you do not agree with the terms and conditions of this license agreement you must remove ViceVersa Pro files from your storage devices and cease to use the product.
Evaluation and Registration
This is not free software. You are hereby licensed
to use this software for evaluation purposes without charge for a period of 30
days. If you use this software after the 30-day evaluation period, a
registration fee is required. When payment is received you will be sent a
registration key. For information on ordering a registration key and for
multiple licenses pricing please visit
www.tgrmn.com. If you do not wish to continue using ViceVersa after the trial period, the software can be easily and cleanly uninstalled, see uninstall instructions.
After registration, one registered copy of ViceVersa PRO (hereafter referred to as "Software") may either be used by a single person who uses
the Software personally on up to 2 of his/her computers (non-servers) or installed on a single
computer (non-server) used non-simultaneously by multiple people, but not both.
You may access the registered version of ViceVersa PRO through a network, provided
that you have obtained individual licenses for the Software covering all the
computers that will access the Software through the network. For instance,
if 10 different computers will access ViceVersa PRO on the network, each
computer must have its own ViceVersa PRO license, regardless of whether they use
ViceVersa PRO at different times or concurrently.
If you install ViceVersa PRO on a Windows Server, each server must have its own server license regardless if a single person or more persons use the Software. Installing ViceVersa PRO on a server requires a special server license, available at www.tgrmn.com. One ViceVersa server license is needed for each server participating in a synchronization, backup or replication, see server licensing examples.
Distribution
Provided that you verify that you are distributing the Unregistered Version
(select About from the ViceVersa Help menu to check) you are hereby licensed to
make as many copies of the Unregistered Version of this software and
documentation as you wish, give exact copies of the original Unregistered
Version to anyone, and distribute the Unregistered Version of the software and
documentation in its unmodified form via electronic means. There is no charge
for any of the above. You are specifically prohibited from charging or requesting donations for any
such copies however made, and from distributing the software and/or
documentation with other products (commercial or otherwise) without prior
written permission.
You are specifically prohibited from distributing the Registered version
of ViceVersa Pro and/or your registration key.
Disclaimer of Warranty
THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OF MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. IN NO EVENT WILL TGRMN SOFTWARE BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS. Because of the various hardware and software environments into which ViceVersa PRO may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED. Good data processing procedure dictates that any program be thoroughly tested with non-critical data before relying on it. The user must assume the entire risk of using the Software.
Copyright and Trademark Rights
The Software is owned by TGRMN Software. This Agreement does not grant you any intellectual property rights in the Software. TGRMN Software owns Copyright and all Intellectual Property Rights to the Software and to any copies made of the Software.
Restrictions
You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software. You may not use, copy, modify or transfer copies of the Software except as provided in this licence. You may not decompile, disassemble, or create derivative works based upon the Software. You may not modify, adapt, translate, or create derivative works based upon the written documentation. You may not sub-license, rent, lease, sell or assign the Software to others.
Governing Law
This Agreement shall be governed by, construed and enforced in accordance with the internal substantive laws (and not the laws of choice of laws) of South Australia, Australia, without giving effect to the conflict of laws provisions. Sole venue shall be in the applicable state and federal courts of South Australia.
